Terms of Service
Effective September 19, 2026
These Terms of Service (“Terms”) are a legal agreement between you and Trovia Technologies Inc. (“Trovia”, “we”, “us”, “our”), a British Columbia corporation, and govern your access to and use of My Boat Notes, including the My Boat Notes mobile applications, the website, and the features and services made available through them (collectively, the “Service”).
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Our Privacy Policy explains how we collect, use, disclose, and store personal information, and forms part of these Terms. Section 4 below and Section 3 of the Privacy Policy describe how we use your content to improve the Service. Please read both.
1. Eligibility and accounts
You must be at least 18 years old, or the age of majority where you live if that is higher, to use the Service. The Service is not directed to children.
You must provide accurate account information and keep your credentials secure. You are responsible for all activity under your account. Notify us promptly at hello@myboatnotes.com if you believe your account has been compromised.
We do not verify vessel ownership. Nothing in the Service confirms that you own or are entitled to operate any vessel you record.
If you use the Service on behalf of a business — a charter operator, marina, brokerage, or fleet owner — you represent that you have authority to bind that business to these Terms, and “you” means both you and that business.
2. Plans, subscriptions, and fees
Free tier
We offer a free tier with limited features and usage. Access to the free tier is provided in exchange for, among other things, the rights you grant us in Section 4 to use your content to improve the accuracy of the Service and to produce aggregate insights. Those rights cannot be disabled on the free tier. We explain them and ask you to agree before you start using the Service, separately from your acceptance of these Terms.
We may change, limit, suspend, or discontinue the free tier, or any part of it, at any time.
Paid tiers
Paid subscriptions are billed at the price and interval shown at the point of purchase.
•
Subscriptions purchased through the Apple App Store are billed to your Apple Account and governed by Apple's terms in addition to these Terms.
•
Subscriptions renew automatically at the then-current price unless cancelled at least 24 hours before the end of the current period.
•
You manage and cancel your subscription in your Apple Account settings, not through us. Deleting the app does not cancel a subscription.
•
Refunds for App Store purchases are handled by Apple under Apple's policies. Except as required by law, fees are non-refundable.
•
Paid tiers allow you to stop your content contributing to those uses, as described in Section 4.
Price changes. We may change subscription prices. Changes take effect at your next renewal, and we will give you notice with an opportunity to cancel first.
Usage limits and availability
We may apply fair-use limits on storage, uploads, and AI requests on any tier, and will describe current limits in the app.
The Service is provided without any service level, uptime guarantee, or support commitment, and we may modify, limit, or withdraw features at any time.
3. Acceptable use
You agree not to:
•
Use the Service to violate any law or the rights of others
•
Upload content you do not have the right to share, including copyrighted manuals or documentation you are not licensed to distribute
•
Upload another person's personal information without a lawful basis for doing so
•
Reverse engineer, decompile, scrape, or attempt to extract our models, prompts, training data, or source code
•
Use the Service, or output from it, to build or train a competing product or model
•
Circumvent usage limits or security controls, or access another user's account or data
•
Use automated means — bots, scripts, crawlers, scrapers — to access, monitor, or copy the Service, except through interfaces we provide for that purpose
•
Access the Service to monitor its availability, performance, or functionality, or for benchmarking or other competitive purposes
•
Interfere with the proper working of the Service, or introduce viruses, malware, or other harmful code
•
Impersonate any person, or misrepresent your affiliation with any person or entity
•
Harass or stalk other users, send them unsolicited commercial messages, or use the Service to collect information about them
•
Resell or sublicense the Service without our written permission
•
Submit content that is unlawful, defamatory, hateful, obscene, or malicious, or use the Service to generate harmful, deceptive, or abusive content
We may, but are not obliged to, monitor, review, screen, or remove content submitted to the Service, and you consent to that monitoring. We may disclose information where we reasonably believe it necessary to comply with law, enforce these Terms, or protect the Service, our users, or third parties.
We may suspend or terminate accounts that violate this section.
4. Your content and the rights you grant us
You own your content
You retain all ownership of the vessel information, records, documents, photographs, notes, and other material you submit (“Your Content”). Nothing in these Terms transfers ownership to us.
Licence you grant us
You grant Trovia a worldwide, non-exclusive, royalty-free, sublicensable, transferable licence to host, store, reproduce, modify, adapt, index, analyze, and otherwise process Your Content in order to:
1.
Operate, maintain, secure, and deliver the Service to you;
2.
Measure, test, and improve the accuracy of the Service; and
3.
Produce de-identified aggregate statistics, insights, and benchmarks calculated across many users, and to use, publish, and commercialize those aggregate outputs.
Scope and limits of that licence
•
We do not train AI models on Your Content. Your Content is not used to train or fine-tune any artificial intelligence model, ours or anyone else's.
•
Your Content stays private to your account. It is never added to a shared knowledge base, never used to answer another user's question, and never disclosed to, shared with, or made retrievable by any other My Boat Notes user or Trovia customer.
•
We do not sell or license Your Content to third parties today. We will not license or sell Your Content, your uploaded documents, or your photographs to any third party for their own use, and we will not sell or license derived datasets to third parties. If we ever intend to, we will give you at least 30 days' notice, identify the recipient and the purpose, and give you a one-step opt-out that you can exercise before or after the change, at no cost and without affecting your access to the Service.
•
Aggregate outputs are ours. The statistics, insights, and benchmarks we calculate under clause 3 are anonymous figures computed across many users. They are not Your Content, and this Section gives you no rights in them.
•
Aggregation is not reversible. The licence in clauses 2 and 3 survives deletion of Your Content and termination of your account with respect to aggregate figures already calculated. Those figures are anonymous and cannot be traced back to your records, so we are not required to recalculate or withdraw them. The licence in clause 1 ends when you delete Your Content or your account, subject to our backup and retention schedule.
Improvement controls
Free tier: you cannot disable the uses in clauses 2 and 3. Agreeing to them is a condition of free access, and we explain them and ask you to agree before you start using the Service.
Paid tiers: you may stop Your Content contributing to the uses in clauses 2 and 3 at any time in Settings → Privacy → Help Improve My Boat Notes, effective going forward.
See the Privacy Policy for details.
Your responsibilities
You represent that you have all rights necessary to submit Your Content and to grant this licence, including in respect of third-party materials and of any other person's information you upload — crew, guests, purchasers, or service providers.
You are responsible for keeping your own copies of Your Content. We are not obliged to store or return it.
Feedback
If you send us suggestions or feedback, you grant us an unrestricted, perpetual right to use it without obligation or compensation to you.
5. Privacy and personal information
We handle personal information in accordance with our Privacy Policy and applicable Canadian and US privacy law. By using the Service you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy, including its use to operate the Service, to measure accuracy, and to produce aggregate insights.
The Service may collect location information from your device and from your vessel records. You can control location permissions through your device settings, and some features may not work if you turn them off.
Your content is stored in Canada. AI processing may occur outside Canada, including in the United States, and may be subject to the laws of the country where it occurs. See Section 7 of the Privacy Policy.
If you upload information about another person, you confirm that you have the authority to do so and have given that person any notice required by law.
We do not show third-party advertising in the Service, do not use your personal information for advertising, and do not track you across other companies' apps or websites. We do not accept payment to influence the maintenance guidance, diagnostics, or recommendations the Service generates, and we have no affiliate, referral, or commission arrangements with parts suppliers or service providers. If that changes, we will disclose it clearly in the app before it takes effect.
6. Copyright and takedown
We respect intellectual property rights and expect our users to do the same. If you believe content on the Service infringes your copyright or other rights, contact us at hello@myboatnotes.com with a description of the work, the location of the content, and your contact information. We may remove or disable access to content we believe to be infringing, and we may suspend or terminate accounts of users who repeatedly infringe.
7. AI output — important safety notice
The Service uses AI models to generate maintenance guidance, diagnostics, summaries, and recommendations based on your inputs and on general marine knowledge.
Do not rely on this Service for navigation or safety of life at sea
AI output may be incomplete, out of date, or wrong. It is provided for informational purposes only. It is not, and must not be relied on as, professional marine engineering, mechanical, surveying, insurance, regulatory, or navigational advice.
My Boat Notes is not a navigational aid and does not provide weather, tide, charting, or emergency information. In an emergency, contact the Coast Guard or other emergency services.
You are solely responsible for the operation, maintenance, seaworthiness, and safety of your vessel. In particular:
•
Always consult the manufacturer's official manuals and specifications, and a qualified marine technician or surveyor, before performing or omitting any maintenance, repair, or safety procedure.
•
Verify any part number, torque value, fluid specification, capacity, service interval, or procedure against the authoritative source before acting on it.
•
Comply with all applicable regulations, class requirements, and the terms of your insurance policy. The Service does not determine or certify compliance with any of them, and records kept in the Service may not satisfy the record-keeping requirements of Transport Canada, the US Coast Guard, a class society, a surveyor, or your insurer.
We do not warrant the accuracy of AI output, and we are not liable for decisions made or actions taken in reliance on it.
8. Our intellectual property
The Service, including the software, models, user interface, and the My Boat Notes and Trovia trademarks, is owned by us and our licensors and protected by intellectual property law. We grant you a limited, personal, non-transferable, revocable licence to use the Service in accordance with these Terms. All rights not expressly granted are reserved.
9. Third-party services
The Service relies on third-party providers, including Amazon Web Services for hosting and AI model processing, Anthropic PBC for the underlying foundation models, and analytics providers. It may also link to or interoperate with third-party content, parts suppliers, or services. We are not responsible for third-party services or content, and your use of them is governed by their own terms.
10. Termination
You may stop using the Service and delete your account at any time. Cancelling a paid subscription takes effect at the end of the current billing period.
We may suspend or terminate your access, with or without notice, if you breach these Terms, if we reasonably believe your use poses a risk to us, our users, or third parties, or if we discontinue the Service. If we terminate without cause, we will refund any prepaid fees for the unused portion of your term.
We have no obligation to retain Your Content after termination and may delete it, subject to our retention and backup schedule and to any legal hold.
Sections 4, 5, 6, 7, 8, 11, 12, 13, 15, and 16 survive termination.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUT WILL BE ACCURATE OR COMPLETE.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you. To the fullest extent permitted by law, any statutory warranties or conditions that cannot be excluded are limited in duration and remedy to the minimum permitted by law. We are not responsible for ensuring that Your Content is compatible with the Service, or for unauthorized third-party access to it.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR DAMAGE TO OR LOSS OF ANY VESSEL, EQUIPMENT, OR PROPERTY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE OR RELIANCE ON AI OUTPUT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).
Nothing in these Terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
13. Indemnity
You will indemnify and hold harmless Trovia and its officers, directors, employees, and agents from any claim, loss, liability, or expense (including reasonable legal fees) arising out of Your Content, your breach of these Terms, your violation of law or third-party rights, or your reliance on AI output. We will notify you of any such claim and may, at your expense, assume the defence and control of it. You will not settle any claim without our prior written consent.
14. Changes to these terms
We may update these Terms. We will post the updated version, revise the effective date, and keep the previous version available.
For material changes we will give notice in the app or by email at least 30 days before they take effect. Continued use after that date constitutes acceptance. If you do not agree, you may delete your account before the changes take effect, at no cost or penalty.
Where a change materially expands how we use Your Content under Section 4, we will ask for your consent rather than rely on continued use.
15. Governing law and disputes
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law principles. The courts of British Columbia have exclusive jurisdiction, and you and we consent to venue in Vancouver, British Columbia. Nothing in this section deprives a consumer of the protection of mandatory law in their place of residence.
You agree to bring any claim relating to these Terms or the Service within one year after it arises.
Before filing a claim, please contact us at hello@myboatnotes.com so we can try to resolve the matter informally.
16. General
These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
Neither party is liable for any failure or delay caused by events beyond its reasonable control.
We may give you notices through the Service, by email to the address on your account, or by posting them on our website, and you consent to receiving notices and other records electronically.
You are responsible for complying with export control and sanctions laws, and you confirm that you are not located in, or ordinarily resident in, a country or region subject to comprehensive sanctions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
It is the express wish of the parties that these Terms and all related documents be drawn up in English.
17. Apple App Store — additional terms
These terms apply to the iOS version of the Service and, where they conflict with the rest of these Terms, control as to Apple:
Acknowledgement. These Terms are between you and Trovia only, not with Apple Inc. (“Apple”). Apple is not responsible for the Service or its content.
Scope of licence. The licence granted to you for the app is a non-transferable licence to use it on any Apple-branded device you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
Maintenance and support. Trovia is solely responsible for maintenance and support. Apple has no obligation to provide any maintenance or support.
Warranty. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price, if any. To the maximum extent permitted by law, Apple has no other warranty obligation, and any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to any warranty are our responsibility.
Product claims. Trovia, not Apple, is responsible for addressing any claims relating to the app or your use of it, including product liability claims, failure to conform to legal or regulatory requirements, and claims under consumer protection or privacy law.
Intellectual property claims. Trovia, not Apple, is responsible for the investigation, defence, settlement, and discharge of any third-party claim that the app or your use of it infringes intellectual property rights.
Legal compliance. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
